ClearVue Technologies announced it has raised approximately $7.5 million through an institutional placement to advance its commercialisation efforts in the U.S. and support global operations.

The placement will see the issuance of 23.4 million fully paid ordinary shares at A$0.32 per share, representing a 21 per cent discount to the company’s last closing price on 14 October 2024, and a 24 per cent discount to its 15-day volume-weighted average price.

“A primary objective for the board and management has been to introduce the company to the institutional investment market,” said ClearVue CEO Martin Deil. 

“The current capital raise has successfully expanded our registry to include a diverse mix of new institutional and professional investors, who constituted the majority of the placement, with a smaller portion coming from sophisticated investors.”

Deil noted that many of the new institutional investors are based in Hong Kong, a key market for ClearVue in Asia. 

“The Hong Kong market is a key focus for the company, as evidenced by our engagement with the Hong Kong government through the EMSD solar glass study announced in March 2023,” he said. 

“The study is continuing but importantly has led to several commercial discussions that we anticipate will convert to sales in the future.”

The funds will be allocated towards expanding the company’s operations in the United States, including infrastructure and staffing to support its growing sales pipeline.

Additionally, ClearVue said it aims to invest in systems and inventory to strengthen global sales capabilities.

“A secondary objective through this raise has been to ensure the company is funded for the next steps in its commercialisation journey,” Deil added. “Funds raised will support execution of our growing sales pipeline through additional staff and infrastructure in the US.”

ClearVue also said it plans to use a portion of the capital to develop software systems, including an ERP system for global product delivery, quality assurance, and data collection from completed projects. 

These systems will enable the company to track energy and carbon performance, positioning it to benefit from future carbon credit regimes.

The placement builds on ClearVue’s earlier capital raise, which supported the development and testing of its Gen-2 products and led to several early projects, including collaborations with CFMEU in Melbourne and Prefabulous in New South Wales.

Bell Potter Securities Limited acted as the lead manager for the placement. Settlement of the new shares is scheduled for October 22, with the shares expected to be allotted on 23 October..

The issue will utilise the company’s existing ASX Listing Rule 7.1 placement capacity, accounting for approximately 9.7 per cent of ClearVue’s current shares on issue. 

The newly issued shares will rank equally with the company’s existing fully paid ordinary shares.

“We are also pleased to have completed the raise despite real or perceived market uncertainties, including those surrounding the upcoming U.S. election in November,” Deil concluded.

ClearVue Technologies has secured its first order for a solar building envelope solution, with plans to install solar cladding on Perth’s iconic Enex100 building, marking a key milestone for the company ahead of the project’s expected completion in mid-2025.

This initial order signals the market’s growing recognition of ClearVue’s energy-efficient building solutions, particularly as building owners and developers seek to reduce operational carbon emissions and energy costs, ClearVue said in a news release. 

“This is a pivotal moment for ClearVue,” said Martin Deil, Global CEO of ClearVue Technologies. 

“This sale of our solar envelope solution confirms our commercial strategy and shows the value the market is starting to place on energy-efficient smart building solutions.” 

Deil continued, “In Australia, the building sector is responsible for around 19% of total electricity usage and 18% of direct carbon emissions. Our technology can be deployed in both retrofit and new construction projects to lower emissions and costs.”

The Enex100 project involves over 200 architectural black PV building envelope modules, part of ClearVue’s comprehensive solar façade product suite. 

The company’s proprietary framing system, which ensures easy installation and maintenance, was a key factor in the selection.

“Our products were chosen due to their energy generation capabilities, high reliability, low combustibility, and compliance with building standards,” added Deil. 

“The seamless pure black glass feature wall not only performs but also enhances the building’s aesthetic.”

Garry Hendrix, senior engineer at ISPT, the property owner of Enex100, emphasised the importance of sustainability in their decision-making process.

“For ISPT, it is crucial to enhance the sustainability and thereby the value of our property portfolio while meeting our tenants’ and stakeholders’ broader ESG expectations,” said Hendrix. 

“ISPT reviewed several competitive solutions but were attracted to ClearVue products due to the innovative design that delivers the key deployment requirements of the construction industry.”

Obi Energy, the commercial solar specialists advising ISPT, also expressed optimism about ClearVue’s technology.

“As independent specialists involved in sourcing energy solutions for our corporate clients, we are pleased to have been introduced to ClearVue’s innovative solutions,” said a spokesperson from Obi Energy. 

“We look forward to exploring further use of ClearVue products in future projects.”

ClearVue Technologies, a leader in smart building materials, has taken a step into the net-zero modular housing market through a pilot project with Prefabulous Pty Ltd, a prominent Australian modular housing manufacturer. 

The collaboration involves ClearVue’s advanced solar glazing and integrated solar cladding being incorporated into Prefabulous’ ‘FabZero’ prototype, marking a milestone in both companies’ pursuit of sustainable housing solutions.

The pilot project, set to incorporate ClearVue’s building-integrated photovoltaics (BIPV) into one of Prefabulous’ modular homes, aims to revolutionise the market by offering net-zero energy homes.

If successful, ClearVue’s solar products could become a standard option for Prefabulous’ customers, creating ongoing demand for the company’s innovative solar vision glass and complementary products.

Martin Deil, Global CEO of ClearVue Technologies, highlighted the importance of this partnership for both companies and the broader housing market. 

“This collaboration with Prefabulous is a significant step for ClearVue for two reasons,” said Deil.

“Our customers are looking for sustainable housing solutions that look great. This trial is part of our broader effort to provide energy-efficient, eco-friendly housing and is based on extensive research work conducted over the last few years with the Sustainable Buildings Research Centre and University of Wollongong.”

The pilot project will evaluate ClearVue’s solar glazing and cladding for energy efficiency, durability, and ease of installation. 

Prefabulous plans to assess the products’ performance and, if successful, integrate them into future modular home designs. 

The pilot modular home is expected to be completed in early 2025.

Smart building materials company ClearVue Technologies announced its entry into the Middle East and North Africa (MENA) and Indian markets through a Manufacturing and Distribution agreement with Aluminium Technology Auxiliary Industries WLL (Alutec).

Alutec, Qatar’s largest façade engineering company, is a subsidiary of Aria Holding, Clearvue said in an ASX announcement.

This strategic partnership marks ClearVue’s expansion into some of the world’s fastest-growing construction markets, where there is a rapidly increasing demand for sustainable solutions and building integrated photovoltaics.

Suraj Thampi, Alutec’s Chief Executive Officer (CEO), and Martin Deil, ClearVue Technologies’ global CEO, signed the five-year agreement, which enables Alutec to manufacture and distribute ClearVuePV Solar Vision Glass.

This innovative product integrates solar technology into building façades, enhancing energy efficiency and sustainability.

Alutec will also have the rights to distribute ClearVue’s solar building envelope solutions.

Commenting on the agreement, Martin Deil stated, “We are thrilled to announce our entry into the large and growing construction sector in the Middle East and India with Alutec, the largest façade engineering company in the Middle East.”

Deil continued, “This agreement aligns with our growth strategy to partner with key manufacturers in strategic target markets. For the Middle East, Alutec is a prominent and well-respected leader in design, engineering, manufacturing, and installation for building envelopes.”

Deil mentioned that ClearVue is well-positioned to capitalise on the fast-growing markets in the Middle East and India. The combined construction sector in Saudi Arabia, UAE, and Qatar is experiencing significant growth, with a CAGR of 4.75-9.13 per cent and is projected to reach US$240 billion by 2029.

Similarly, the CEO noted that India’s construction sector, valued at US$825.6 billion in 2023, is expanding rapidly.

“ClearVue offers the only high-energy clear solar vision glass on the market easily integrated into window manufacturing lines, helping building owners reduce carbon emissions while improving energy efficiency,” Deil remarked.

Meanwhile, John Douglas, Alutec’s Pre-Construction Director, emphasised the importance of this partnership.

“Our region is preparing for the future. Governments across the Middle East are heavily investing in renewable solutions to meet our growing energy needs. India is also a key focus for our expansion plans.”

He added, “We are currently setting up manufacturing and distribution facilities in India, and we see ClearVue as a key part of those plans as we expand into that region.”

Alutec joins ClearVue’s growing global list of licensed manufacturers and distributors, including AIT Group (Tampa, Florida), Graboyes (Pennsylvania), Tomita Technologies in Japan (greenhouses), MS Glass in Melbourne Australia, HT Glass in Singapore, System USA in California (greenhouses), 8G Solutions (Missouri, Kansas and Arizona), Greendustrial Global in Israel, and the Concept Business Group in South Africa.

The agreement with Alutec (Aluminium Technology Auxiliary Industries WLL) in Qatar is complemented by a forthcoming agreement with Dune Trading LLC, another Aria Holding company, in the United Arab Emirates.

This second agreement is expected to be signed in the coming weeks and will further expand the relationship.

The new order will facilitate the creation of a demonstrator greenhouse, showcasing ClearVue’s technology for sustainable agriculture practices, the company said in an ASX announcement.  

Martin Deil, Global CEO of ClearVue Technologies, emphasised the strategic importance of the US market for solar greenhouses.

“The global market for solar greenhouses is a critical part of our growth strategy. Our immediate focus is on the US market where we can leverage government incentives for renewable energy solutions in agriculture,” he noted.

ClearVue Technologies, a pioneer in smart building materials, has secured $4 million through a Placement, accompanied by the launch of a $2 million Share Purchase Plan (SPP).

The capital injection is poised to accelerate the development and commercialisation of ClearVue’s next-generation (Gen-2) products.

The Placement, oversubscribed with firm commitments from institutional, sophisticated, and professional investors, involved issuing approximately 8 million fully paid ordinary shares at an issue price of A$0.50 per Placement Share.

Notably, the Placement price reflects a 21 per cent discount to the 15-day volume weighted average price and an 11 per cent discount to the last closing price of ClearVue’s shares.

In addition to the Placement, ClearVue initiated the SPP to offer eligible shareholders an opportunity to purchase new shares on the same favourable terms as the Placement, without incurring any brokerage, transaction, or commission costs.

The ASX-listed company said the SPP aims to further involve loyal shareholders in the company’s growth trajectory.

Martin Deil, CEO of ClearVue, expressed gratitude for the overwhelming support from both existing and new shareholders.

He highlighted the significance of the capital raise in advancing the development and certification of Gen-2 products, which are expected to drive early sales in the second half of the calendar year.

“Funds raised will be used to complete and finalise testing and certification of our Gen-2 products, leading to anticipated early sales during the second half of the calendar year and accelerating our path to commercialisation,” the CEO noted.

Deil emphasized the company’s commitment to shareholder value by extending the opportunity for loyal investors to participate in the capital raise through the SPP.

ClearVue Technologies and LuxWall Inc, a leader in advanced vacuum insulated glazing (VIG) products, are set to revolutionise the construction industry with the development of the world’s first ‘Zero Window,’ a pioneering product aimed at achieving net zero energy consumption in buildings.

The collaboration aims to integrate ClearVue’s solar technology and LuxWall’s vacuum insulated glazing to create a cutting-edge solution for sustainable and energy-efficient buildings, the former said in an ASX announcement.

ClearVue’s solar glazing, which generates electricity from transparent glass, has recently demonstrated a remarkable 22.8 per cent reduction in solar heat gain, according to independent testing by Singapore’s peak building authority.

LuxWall’s advanced VIG products use vacuum insulation to achieve highly energy-efficient single and double-pane glazing, reducing heating costs by up to 45 per cent.

The collaboration will combine these technologies into a new product known as the ‘PV VIGU’ (photovoltaic vacuum insulated glazing unit).

According to ClearVue, the Zero Window is expected to outperform all existing double-glazed low emissivity solutions, providing optimal thermal performance while simultaneously generating power.

This glazing unit will possess key features, including optical transparency, minimal heat gain, and the highest energy generation possible for clear solar glass.

Architects and developers committed to sustainability and net-zero construction goals are anticipated to show significant interest in the Zero Window.

The product aligns with global efforts to reduce carbon in buildings, achieve top LEED certifications, and minimize energy consumption in the built environment.

ClearVue and LuxWall plan to unveil a prototype of the Zero Window at the American Institute of Architects Conference on Architecture and Design in Washington DC in June 2024 (AIA24), showcasing the product’s capabilities at the 8G Solutions stand.

Martin Deil, the Global CEO of ClearVue, remarked on the new partnership, highlighting its significance in the ongoing battle against climate change within the construction sector, a major contributor to global greenhouse gas emissions.

“We are excited to partner with LuxWall on this innovative product. Vacuum insulated windows provide the best thermal performance products and minimize energy use,” Deil stated.

“ClearVue technology can enhance that thermal performance even further and generate electricity at the same time, providing clean energy on site and helping meet sustainability targets,” he added.

LuxWall CEO Scott Thomsen echoed the sentiment, emphasising the shared vision of ClearVue Technologies and LuxWall to transform windows and the building envelope.

“We look forward to the first demonstration of the Zero Window in partnership with Chuck Mowrey and his team at 8G Solutions during the AIA Conference this year,” Thomsen noted.

While the financial impact of the collaboration is yet to be determined, both companies view the partnership as a significant opportunity in the United States market.

The collaboration is expected to benefit from incentives offered through the US Inflation Reduction Act and other market-specific incentives, positioning ClearVue and LuxWall as key players in the drive towards sustainable and energy-efficient construction practices.

Smart building materials company ClearVue Technologies Limited has inked a significant manufacturing and distribution agreement with Safety Glass Pty Ltd, trading as Melbourne Safety Glass and MS Glass (MS Glass).

In an ASX announcement, ClearVue said this agreement represents the company’s inaugural licensing arrangement within its home country, Australia.

Under the terms of the three-year agreement, with an option for two five-year renewals, MS Glass will enjoy exclusive manufacturing and distribution rights for ClearVue’s innovative solar integrated glass units (IGUs) in key regions.

The covered areas include Victoria, New South Wales, Tasmania, Queensland, and the Australian Capital Territory.

Additionally, ClearVue has granted MS Glass exclusive distribution rights in Western Australia, South Australia, and the Northern Territory.

MS Glass has also been awarded a non-exclusive license to manufacture and supply ClearVue products for these regions and territories, as well as internationally.

Commenting on the agreement, Martin Deil, Global CEO of ClearVue, expressed his satisfaction with the partnership with MS Glass, emphasising the significance of this collaboration for the inaugural commercial rollout of their product along the east coast of Australia.

Deil highlighted the opportune timing of the agreement, aligning with ClearVue’s accelerated growth in opportunities nationwide. He underscored the formalization of the ClearVue-MS Glass relationship, developed over the preceding 18 months.

“MS Glass, and in particular their Operations Manager Tim Boer, were one of four glass processors globally who shared their production facilities and industry knowledge with us. This helped us understand the nuances of IGU manufacture, enabling us to design a product that integrates seamlessly into existing production lines,” the CEO explained.

The agreement with MS Glass signifies the completion of licensing arrangements with all four instrumental companies, including AIT Group in the US, H T Glass in Singapore, and OEM YY Windows in China, whose valuable feedback significantly influenced ClearVue’s design team.

Anticipating the future, Deil expressed eagerness to update the market on new Australian projects signed through MS Glass in the short term and over the coming years.

Meanwhile, Tania White, general manager of MS Glass, echoed the enthusiasm for the collaboration, announcing their joint venture to introduce ClearVue’s cutting-edge solar photovoltaic glazing to the east coast market of Australia.

ClearVue Technologies, a pioneer in smart building materials, has entered the Southeast Asian market through a significant manufacturing and distribution collaboration with H T Glass Pte Ltd, a glass processing specialist based in Singapore.

This collaboration positions ClearVue at the forefront of the region’s escalating demand for clean renewable solutions, especially with the anticipation of forthcoming carbon mandates, the ASX-listed company said in a press release.

The five-year agreement grants H T Glass non-exclusive manufacturing and distribution rights for ClearVue’s innovative solar integrated glass units (IGUs) in Singapore.

Moreover, ClearVue has granted H T Glass a non-exclusive license to produce and supply the products to ClearVue, or as directed, on an original equipment manufacturer (OEM) basis.

ClearVue stated the partnership with H T Glass not only solidifies its presence in Southeast Asia but also adds to its growing network of licensed manufacturers and distributors globally.

Martin Deil, global CEO of ClearVue, expressed satisfaction with the partnership, stating that they take pride in securing their first commercial agreement in Singapore with H T Glass, a progressive and flexible glass processor.

According to Deil, partners like H T Glass are crucial in delivering ClearVue’s unique technology to customers in Southeast Asia, especially in the face of the region’s significant role in their growth strategy.

“ClearVue can immediately take advantage of the rapidly expanding market in Southeast Asia for clean renewable solutions driven by regulation, particularly in Singapore which has one of the world’s most stringent net zero policies including a carbon tax that has been significantly increased for 2024 and increasing thereafter where it is expected to reach SGD $50 to $80 per tonne of CO2e by 2030,” explained Deil.

Meanwhile, Sam Tsang, managing director of H T Glass, conveyed their pleasure in working with ClearVue, describing the experience as enjoyable.

“We are pleased to be working with ClearVue and have enjoyed the experience to date in assisting ClearVue complete its product development goals with its Gen-2 product including ensuring suitability for mass manufacturing – a requirement for ClearVue and its licensees to sell its product into large scale building projects globally,” Tsang noted.

Tsang mentioned their collaboration on BCA Skylab testing, which enhanced their understanding of the real benefits of ClearVue’s product for the region and globally.

He noted H T Glass’s recent expansion with a new glass processing line to meet the expected growth in orders, including those for the ClearVue product in 2024 and beyond.

This expansion follows recent agreements with 8G Solutions in the US, Greendustrial Global in Israel, and the Concept Business Group in South Africa.

H T Glass, established in 2007 and headquartered in Singapore, operates a state-of-the-art 5000 sqm processing facility on the island, distinguishing itself as a leading player in end-product glass processing.

ClearVue Technologies Limited has expanded its presence in the US market by appointing 8G Solutions as the new distributor, targeting growth in Colorado, Missouri, and Arizona.

The five-year agreement grants 8G Solutions non-exclusive distribution rights for ClearVuePV solar integrated glass units (IGUs), with the potential for exclusivity based on performance, the company announced in a media release.

According to the ASX-listed company, the ClearVuePV solar integrated glass units provide an innovative solution for sustainable and energy-efficient building designs.

The partnership with 8G Solutions aligns with ClearVue’s vision to make its state-of-the-art products more accessible to the US market.

Established in 1984 as JPI Glass LLC, 8G Solutions boasts a team of around 150 professionals operating across three US states.

The company specialises in a wide range of projects, with a focus on curtain walls/façades, window walls, storefronts, entrances, windows, structural glass walls, handrails, interior glazing, metal panels, and more.

The collaboration with 8G Solutions is expected to leverage the distributor’s extensive experience and strong presence in the industry.

ClearVue Technologies aims to capitalise on 8G Solutions’ well-established network and expertise to effectively introduce its ClearVuePV products to the dynamic markets of Colorado, Missouri, and Arizona.

Martin Deil, Global CEO of ClearVue, mentioned that the agreement builds on their expanding network of manufacturers and distributors across the US, including AIT Group in Florida and Massachusetts, and Graboyes in Pennsylvania, all of which were previously appointed.

“Our unique solar glazing technology not only helps companies take advantage of these incentives, but provides them with real solutions to meet current and incoming strict sustainability regulations via improved thermal performance of windows which reduces heating and cooling energy demands and costs, and by providing clean energy on-site,” he remarked.

Deil continued, “This agreement also rapidly follows the recent appointments of new distributors in Israel and South Africa, further demonstrating the growing global need for ClearVue’s renewable energy solutions, proven to improve energy efficiency and reduce carbon emissions.”

Meanwhile, Chuck Mowrey, non-executive director of ClearVue and CEO of 8G Solutions, expressed his satisfaction with the expansion of ClearVue’s solar glass technology across the US states where 8G Solutions operates.

“The increasing regulatory environment across the US and the need for sustainable solutions create a significant market for ClearVue’s products,” Mowrey stated.

In addition to the partnership with 8G Solutions, ClearVue Technologies is set to work in tandem with AIT Group, previously appointed as a ClearVue IGU manufacturer for the United States.

This coordinated approach ensures a seamless integration of manufacturing and distribution processes, enhancing the overall efficiency of ClearVue’s operations in the US.
